These Terms describe the Shopzito software service operated by DYNEEMADEV LIMITED. Merchant-specific commercial terms, including subscriptions, payment arrangements and service commitments, may be agreed separately.
1. Operator and acceptance
Shopzito ("Service") is operated by DYNEEMADEV LIMITED ("Operator", "we", "us"). These Terms apply to businesses and their authorized users ("Merchants") who access or use Shopzito. By creating or using a Merchant account, the authorized representative agrees to these Terms and confirms they have authority to act for the Merchant.
2. What the Service does
Shopzito provides software for managing Instagram DM-based customer journeys, which may include product discovery, message automation, order coordination, payment-step handoff, order tracking and dashboard-based administration. The availability of features depends on the subscribed or enabled configuration, supported third-party integrations and approved platform permissions.
Shopzito does not itself become the Merchant, seller of record, shipping company or payment-card processor merely by facilitating a conversation or workflow. Payment may be completed through a separate provider or checkout experience.
3. Accounts and authorization
- Merchants must provide accurate registration and business information and keep it current.
- Merchants must connect only professional or business accounts they are authorized to control and must use supported authentication and authorization methods.
- Each Merchant is responsible for its team access, security, account actions and promptly revoking access from departing personnel.
- Account credentials, access tokens and platform data must be handled securely and must not be improperly disclosed.
4. Merchant responsibilities
Merchants are responsible for the accuracy, legality, availability and fulfillment of their products and services; product descriptions and pricing; customer support; payment collection; returns, refunds and taxes; lawful notices, permissions and any applicable marketing consent.
Merchants must configure automated messages responsibly and comply with Instagram/Meta messaging restrictions, approved permissions, platform terms, applicable consumer-protection rules and privacy laws. The Service must not be used for unsolicited spam, deceptive sales, unlawful goods, harassment or infringement of third-party rights.
5. Platform and payment integrations
Shopzito depends on third-party services, including Meta/Instagram and any selected payment, delivery or other integrations. Their availability, permissions, changes, outages and policies may affect functionality. Merchants are responsible for reviewing and accepting the applicable third-party terms.
Shopzito is an independent service and is not sponsored, endorsed or operated by Meta or Instagram. We cannot promise that a third party will approve access, process a payment, or maintain a specific feature indefinitely.
6. Customer data and confidentiality
The processing of personal information is described in our Privacy Policy. Merchants must have a lawful basis for their customer communication and must respect requests regarding customer information. Merchants must not enter payment-card numbers, passwords or other unnecessary sensitive information into message automation workflows.
Each party should protect non-public business and customer information it receives from the other and use it only as permitted for service delivery or required by law.
7. Fees and billing
Any applicable subscription, usage charges, trial conditions, payment due dates, renewal rules and refund arrangements must be separately disclosed in an order form, subscription screen or Merchant agreement before charges are incurred. Unless explicitly included in a signed agreement, fees charged by payment processors or other third parties are separate from Shopzito’s service charges.
8. Intellectual property
The Operator and its licensors retain their rights to the Shopzito software, design, trademarks, documentation and related material. Merchants retain rights to their own content and provide the limited permissions necessary for Shopzito to process it for the contracted service. These Terms do not transfer ownership of Merchant content to the Operator.
9. Suspension and termination
Access may be suspended or terminated when necessary to protect the Service, comply with law or platform requirements, address material misuse or enforce an applicable Merchant agreement. Merchants may request termination through the support contact below. After termination, handling and deletion of information follow our Privacy Policy, applicable laws and the documented retention practices.
10. Service limitations
Shopzito is provided with reasonable care consistent with any separately agreed service commitments, but features and integrations may change or experience interruptions. To the extent permitted by law, we do not guarantee uninterrupted availability, particular sales outcomes or uninterrupted third-party platform access. Nothing in these Terms limits rights or liabilities that cannot lawfully be excluded.
11. Responsibility and liability
Each party is responsible for its own unlawful conduct and contractual obligations. Any limitations of liability and allocation of commercial risk for paid Merchants should be set out in a binding Merchant agreement and must comply with the law of the governing jurisdiction. These Terms do not override mandatory consumer or data-protection rights.
12. Governing law and disputes
The Operator is a company registered in England and Wales. The governing law and dispute-resolution arrangement for any paid Merchant contract should be determined by the applicable Merchant agreement and mandatory law. Please contact the Operator first to seek an amicable resolution.
